This Terms of Service Agreement (“Agreement”) governs your access to and use of the Bin Boss platform and related services (collectively, the “Service”) provided by Bin Boss Software LLC (“Bin Boss,” “we,” “our,” or “us”).
Acceptance of Terms
By creating an account, subscribing, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy.
If you do not agree, you may not access or use the Service.
1. Eligibility and Account Registration
You must be at least 18 years old and capable of forming a legally binding contract.
You agree to:
- Provide accurate and complete information
- Keep your account information updated
- Maintain the security of your login credentials
You are responsible for all activity under your account.
2. License and Permitted Use
Bin Boss grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes.
You may not:
- Reverse engineer or attempt to extract source code
- Copy, modify, or create derivative works
- Use the Service for unlawful purposes
- Interfere with system performance or security
3. Subscription Plans, Billing, and Fees
3.1 Subscription Billing
- The Service is provided on a subscription basis
- Billing occurs monthly (or as otherwise agreed)
- Payments are processed via third-party providers (e.g., Stripe)
- You authorize recurring billing upon signup
3.2 Fees and Refunds
- All fees are non-refundable, unless stated otherwise in writing
- Failure to pay may result in suspension or termination
3.3 Pricing Changes
We may update pricing or plan features with 30 days’ notice. Continued use constitutes acceptance of updated pricing.
3.4 Payment Processing & Transaction Fees
Payments processed through the platform are handled by Stripe using destination charges.
Applicable fees include:
- Stripe processing fees (currently ~2.9% + $0.30)
- An additional 0.75% platform fee retained by Bin Boss
By using payment features, you:
- Authorize these fees
- Agree they may change with notice
4. User Data and Content
You retain ownership of your data (“User Content”).
You grant Bin Boss a non-exclusive, royalty-free license to:
- Use
- Process
- Store
- Display
…your content solely to provide and improve the Service.
You are responsible for ensuring your data:
- Is accurate
- Does not violate laws or third-party rights
4.1 Electronic Signatures and Audit Trails
When using e-signature features, Bin Boss may collect:
- Signature image
- IP address
- Device data
- Email address
- Timestamps
This data is stored to create a verifiable audit trail.
You are responsible for:
- Obtaining proper consent
- Ensuring compliance with ESIGN, UETA, or other applicable laws
- The legal enforceability of your documents
5. Data Privacy
Your use of the Service is subject to our Privacy Policy.
You acknowledge that:
- Data is transmitted and stored electronically
- No system is completely secure
You are responsible for maintaining backups of your data.
6. Third-Party Services
The Service may integrate with third-party tools (e.g., Stripe, QuickBooks, Google Maps).
We are not responsible for:
- Their performance
- Their data practices
- Any losses caused by third-party services
7. Intellectual Property
All rights to the Service (software, branding, content) are owned by Bin Boss or its licensors.
You may not:
- Use our trademarks without permission
- Copy or distribute platform materials
8. Service Availability
We may:
- Modify or discontinue features
- Perform maintenance
- Interrupt access
We are not liable for:
- Downtime
- Data loss
- Service interruptions
9. Termination
We may suspend or terminate your account:
- For violation of these Terms
- For non-payment
- At our discretion with notice
You may cancel at any time.
Upon termination:
- Access ends immediately
- Data may be deleted after a reasonable period
- Outstanding balances remain due
10. Disclaimers
The Service is provided “as is” and “as available.”
We disclaim all warranties, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
11. Limitation of Liability
To the fullest extent permitted by law:
- Bin Boss is not liable for indirect or consequential damages
- Total liability is limited to the amount paid in the 3 months prior to the claim
12. Indemnification
You agree to indemnify and hold harmless Bin Boss from claims resulting from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any laws or third-party rights
13. Changes to Terms
We may update these Terms at any time.
If changes are material, we may notify you via:
- Platform notification
Continued use of the Service = acceptance of updated Terms.
14. Governing Law
This Agreement is governed by the laws of the State of Ohio.
All disputes must be resolved in:
Montgomery County, Ohio
You waive objections to jurisdiction or venue.
